Introduction

Near Vision Institute, a non-profit corporation, ("Near Vision Institute," "NVI," "we,", "it", "us," or "our") owns and operates the online EYE Toolbox™ located at the public URL, www.N-OD.com, and the private URL, www.N-OD1.com (the "EYE Toolbox™"), and provides services to subscribers via the EYE Toolbox™ (collectively, the "Services").

Near Vision Institute LLC recognizes the importance of protecting the privacy of your personal information and your non-Personal Health Information ("Non-PHI").

This Privacy Policy explains how Near Vision Institute collects, uses and discloses your Non-PHI information from and/or about you when you use the EYE Toolbox™ or the Services.

When you register for a Near Vision Institute EYE Toolbox™ account or as a user on Group Clinic EYE Toolbox™ account, we collect from you your contact information, including name, organization name, physical address, email address, and credit card or ACH information.

By using the EYE Toolbox™ and Services, you acknowledge the practices and policies outlined in this Privacy Policy and agree that Near Vision Institute can collect and use your information as described in this Privacy Policy. The information Near Vision Institute collect or maintain and how Near Vision Institute use and protect that information for each use is described in detail below. If you do not agree, please do not use the EYE Toolbox™ or the Services.

Use of Non-PHI Information
Near Vision Institute may use your Non-PHI to:

• Provide you with the Services, including providing your Non-PHI to its Business Associates, with whom Near Vision Institute has entered into a Business Associate Agreement;
• Improve the quality of the EYE Toolbox™ or Services;
• Fulfill any purpose for which you give Near Vision Institute authorization;
• Improve the EYE Toolbox™ or Services and/or their respective content, features and/or Services;
• Improve the products, services, marketing and/or promotional efforts of Near Vision Institute; and
• Create new products, services, marketing and/or promotions for Near Vision Institute.

As you use the EYE Toolbox™ or the Services, Near Vision Institute may use technologies that automatically collect and analyze information, such as your device IP address, the type of device you are using, browser type and version, time and date of visit, time spent on those pages and additional usage statistics. Near Vision Institute may also collect device and advertising identifiers, pages that you visit before and after using the Services, the date and time of your visit, information about the links you click and pages you view within the Services, and other standard server log information. Disclosures
Only after we have your prior authorization (if prior authorization is permitted under applicable law), under the following circumstances:

• It is necessary to share information to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of our Terms of Use, or as otherwise required by law.
• Near Vision Institute may disclose your information under special circumstances, such as to comply with lawful requests and subpoenas by public authorities, including to meet national security or law enforcement requirements, or when your actions violate the Terms of Use. Unless we are prohibited by law from doing so, we will notify you in advance of the disclosure to give you an opportunity to object to the disclosure before the tribunal or agency requesting the disclosure.
• We will transfer information about you if Near Vision Institute is acquired by or merged with another company, or if our assets are transferred to an acquiring party. In this event, Near Vision Institute will notify you before information is transferred and becomes subject to a different privacy policy.

For visitors to our public website (www.EYE.com), we may employ cookies to serve you "remarketing" ads via third-parties such as Google. Confidentiality
We treat all information you provide to the EYE Toolbox™ strictly confidential. All Near Vision Institute employees and contractors are bound by confidentiality agreements, which bind them to take all reasonable precautions to prevent any unauthorized use or disclosure of confidential information.

We employ reasonable and appropriate physical, technical and administrative measures to protect information under our control. However, no method of transmission or electronic storage is fully secure, and Near Vision Institute cannot guarantee absolute security.

Data Ownership
Although Near Vision Institute owns the code, databases, and all rights to the EYE Toolbox™ and the Services, you retain all rights to your data, your Non-PHI and the PHI you provide to the EYE Toolbox™ and Services (to the extent you can lawfully on this PHI). You represent and warrant that you are authorized to provide this Non-PHI and PHI to Near Vision Institute so you can use the EYE Toolbox™ and Services as intended. You agree to indemnify, defend and hold Near Vision Institute and its employees, officers, directors, members and contactors) harmless from any third-party claim alleging a violation of this representation and warranty (including payment of legal fees, costs of suit and expert witness charges and fees).

Changes
Near Vision Institute may periodically update its Terms and Conditions or Privacy Policy. We will notify you about significant changes by sending a notice to the email address for the primary contact specified in your LGL Account or by placing a prominent notice on our site.
